These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and PROMETHIEL L.L.C. (“PROMETHIEL,” “we,” “us,” or “our”) governing your access to and use of:

  • Any digital products, teaching decks, educational materials, or content offered for sale or access
  • Any related services, communications, or customer support

By accessing the website, purchasing, downloading, or using any digital product or service, you affirmatively agree to be bound by these Terms.

  • Digital Product License Agreement (DPLA)
  • Any posted policies, notices, or disclosures on the website
  • Any product-specific terms disclosed at checkout

In the event of a conflict, the Digital Product License Agreement controls with respect to use of licensed digital products.


1.4 SCOPE OF APPLICATION

These Terms apply to all users, including but not limited to:

  • Visitors to the website
  • Purchasers of digital products
  • Licensees under the DPLA
  • Educators, organizations, and enterprise users

These Terms govern conduct before, during, and after purchase.


1.5 RIGHT TO REFUSE SERVICE

PROMETHIEL reserves the right, in its sole discretion, to:

  • Refuse service to any individual or entity
  • Limit access to the website or products
  • Cancel transactions
  • Suspend or terminate accounts

Such actions may be taken without prior notice where permitted by law.


2. ELIGIBILITY, USER REPRESENTATIONS, AND INFORMATION ACCURACY

2.1 ELIGIBILITY TO USE THE SERVICES

By accessing the website or using any products or services offered by PROMETHIEL, you represent and warrant that:

2.3 RESPONSIBILITY FOR CONTACT AND PAYMENT DETAILS

You acknowledge and agree that:

  • All communications, notices, and delivery of digital products will be sent to the email address you provide
  • You are responsible for ensuring your email address and payment information remain valid and accessible
  • PROMETHIEL is not liable for failed delivery caused by spam filters, incorrect addresses, or third-party service issues

Failure to receive communications due to user-side issues does not relieve you of obligations under these Terms.


2.4 PROHIBITED MISREPRESENTATION

You may not:

  • Impersonate any person or entity
  • Misrepresent your identity, affiliation, or authority
  • Falsely claim educational, organizational, or enterprise status to obtain pricing or access
  • Provide misleading or fraudulent information

Any misrepresentation constitutes a material breach of these Terms and may result in immediate suspension or termination of access without refund.


2.5 COMPLIANCE WITH LAWS

You agree to comply with all applicable local, state, national, and international laws, rules, and regulations in connection with your use of the website and services.

PROMETHIEL makes no representation that the website or services are appropriate or available for use in all jurisdictions. Access from jurisdictions where such use is prohibited is done at your own risk.


2.6 NO RELIANCE ON UNAUTHORIZED REPRESENTATIONS

You acknowledge that:

  • You have not relied on any representations, warranties, or statements not expressly set forth in these Terms or incorporated agreements
  • Any statements made outside these Terms are informational only and non-binding unless expressly incorporated

3. DIGITAL PRODUCTS, LICENSING STRUCTURE, AND RELATIONSHIP TO THE DPLA

3.1 NATURE OF DIGITAL PRODUCTS

PROMETHIEL offers digital educational products, including but not limited to teaching decks, lesson cards, frameworks, methodologies, written materials, and related instructional resources (collectively, the “Digital Products”).

All Digital Products are delivered electronically and are intangible digital goods. No physical goods are sold unless expressly stated otherwise.


3.2 LICENSED ACCESS — NOT OWNERSHIP

All Digital Products are made available to users on a licensed basis only.

Purchase of a Digital Product does not transfer ownership of any intellectual property. Instead, purchase grants you a limited license to access and use the Digital Product strictly in accordance with:

  • These Terms of Service, and
  • The Digital Product License Agreement (DPLA)

Any use of a Digital Product outside the scope of the applicable license constitutes a violation of these Terms and the DPLA.


3.3 INCORPORATION AND PRECEDENCE OF THE DPLA

The Digital Product License Agreement (DPLA) is hereby incorporated by reference into these Terms.

You acknowledge and agree that:

  • The DPLA governs all matters relating to permitted use, restrictions, and intellectual property rights for Digital Products
  • In the event of any conflict between these Terms and the DPLA regarding Digital Product use, the DPLA shall control

Acceptance of these Terms constitutes acceptance of the DPLA.


3.4 LICENSE TIERS AND SCOPE OF USE

PROMETHIEL may offer multiple license tiers for Digital Products, including but not limited to:

  • Personal licenses
  • Educator licenses
  • Organizational licenses
  • Enterprise licenses

The scope of permitted use is determined solely by the license tier purchased. No rights are implied beyond those expressly granted under the applicable tier.

PROMETHIEL reserves the right to audit, investigate, or enforce license compliance.


3.5 NO GUARANTEE OF AVAILABILITY OR CONTINUITY

PROMETHIEL does not guarantee that any Digital Product:

  • Will remain available indefinitely
  • Will be updated or supported
  • Will remain unchanged in format, content, or delivery method

PROMETHIEL may modify, replace, or discontinue Digital Products at its discretion.


3.6 THIRD-PARTY PLATFORM DEPENDENCE

Delivery, payment processing, and access to Digital Products may rely on third-party platforms or service providers.

PROMETHIEL is not responsible for disruptions, delays, or failures caused by third-party systems beyond its reasonable control.


3.7 NO PROFESSIONAL SERVICES

Digital Products are provided for educational and informational purposes only and do not constitute professional services of any regulated kind. Use of Digital Products does not create any professional-client relationship.


4. PAYMENT TERMS, PRICING, TAXES, AND BILLING

4.1 PRICING AND PRODUCT DESCRIPTIONS

All prices for Digital Products are displayed on www.promethiel.com or at checkout and are subject to change at any time without prior notice.

PROMETHIEL makes reasonable efforts to accurately describe and display Digital Products. However, PROMETHIEL does not warrant that product descriptions, pricing, or other content are error-free, complete, or current. In the event of a pricing or description error, PROMETHIEL reserves the right to cancel or correct the transaction.


4.2 PAYMENT AUTHORIZATION

By submitting payment information, you represent and warrant that:

  • You are authorized to use the selected payment method
  • The payment information provided is accurate and complete
  • You authorize PROMETHIEL (and its payment processors) to charge the full purchase amount, including applicable taxes and fees

All payments must be received in full before access to any Digital Product is granted.


4.3 PAYMENT PROCESSORS

Payments are processed through third-party payment processors (such as Shopify Payments or other providers).

PROMETHIEL does not store or control your payment credentials and is not responsible for errors, breaches, or failures attributable to third-party payment processors.

Your use of such payment processors is subject to their respective terms and privacy policies.


4.4 TAXES AND FEES

You are responsible for all applicable taxes, duties, levies, or governmental charges imposed in connection with your purchase, excluding taxes based on PROMETHIEL’s income.

PROMETHIEL may collect and remit taxes where required by law, based on the information you provide at checkout.


4.5 CURRENCY AND TRANSACTION FEES

All transactions are processed in the currency indicated at checkout.

You are responsible for any currency conversion fees, bank fees, or transaction charges imposed by your financial institution or payment provider.


4.6 SUBSCRIPTIONS AND RECURRING PAYMENTS (IF APPLICABLE)

If PROMETHIEL offers subscription-based products or services:

  • Subscription terms, billing cycles, and cancellation procedures will be disclosed at checkout
  • You authorize recurring charges until the subscription is canceled in accordance with disclosed terms
  • Failure to cancel prior to renewal constitutes authorization for continued billing

4.7 NON-PAYMENT AND PAYMENT FAILURE

PROMETHIEL reserves the right to:

  • Suspend or revoke access to Digital Products for failed or disputed payments
  • Terminate licenses where payment is reversed, charged back, or invalidated
  • Pursue lawful collection remedies where appropriate

Access to Digital Products is contingent upon successful payment.


5. REFUNDS, CHARGEBACKS, AND DISPUTE HANDLING

5.1 DIGITAL PRODUCTS — FINAL SALE

All products offered by PROMETHIEL are digital, intangible goods delivered electronically.

Due to the nature of digital content, all sales are final once access to a Digital Product has been granted. This applies regardless of whether the Digital Product is downloaded, accessed, or used.

By completing a purchase, you expressly acknowledge and agree that you are waiving any right to a refund, except where such a right cannot be waived under applicable law.


5.2 ACCESS-BASED COMPLETION OF SALE

For purposes of these Terms, a transaction is deemed complete and final when any of the following occurs:

  • A download link is delivered
  • Access credentials are issued
  • The Digital Product becomes accessible through the website or a third-party platform

Actual use or download of the Digital Product is not required for the sale to be considered final.


5.3 TECHNICAL ISSUE EXCEPTION

PROMETHIEL will provide reasonable assistance for verifiable technical issues that prevent access to a purchased Digital Product, subject to the following conditions:

  • Requests must be submitted within seven (7) days of purchase
  • Issues must relate solely to delivery, access, or file integrity
  • Assistance is limited to restoring access or re-delivery where appropriate

5.4 NO REFUNDS FOR CONTENT-BASED REASONS

PROMETHIEL does not issue refunds for:

  • Dissatisfaction with content style, tone, or approach
  • Perceived lack of usefulness or relevance
  • Failure to achieve desired outcomes
  • Misunderstanding of license scope or permitted use

It is your responsibility to review product descriptions and license terms before purchasing.


5.5 CHARGEBACKS AND PAYMENT DISPUTES

Initiating a chargeback or payment dispute without first contacting PROMETHIEL for support constitutes a material breach of these Terms.

PROMETHIEL reserves the right to:

  • Suspend or terminate access immediately
  • Contest chargebacks using delivery records, license acceptance, and access logs
  • Recover administrative costs associated with fraudulent or abusive chargebacks

Repeated or bad-faith chargebacks may result in permanent restriction from future purchases.


5.6 CONSUMER LAW COMPLIANCE

Nothing in this Section is intended to limit or exclude consumer rights that cannot be waived under applicable law.

Where mandatory refund or cooling-off rights apply, PROMETHIEL will comply only to the minimum extent required by law.


6. ACCEPTABLE USE AND PROHIBITED CONDUCT

6.1 ACCEPTABLE USE

You agree to use the website, Digital Products, and related services lawfully, ethically, and in good faith, and in a manner consistent with:

  • These Terms of Service
  • The Digital Product License Agreement (DPLA)
  • All applicable laws, regulations, and industry standards

Use of the website and services is permitted solely for their intended educational and informational purposes.


6.2 PROHIBITED CONDUCT

You may not, directly or indirectly:

  • Violate any applicable law, regulation, or legal obligation
  • Use the website or Digital Products for fraudulent, deceptive, or misleading purposes
  • Attempt to bypass, disable, or interfere with security features, access controls, or digital rights management
  • Circumvent licensing, pricing, or access restrictions
  • Engage in conduct that infringes or misappropriates PROMETHIEL’s intellectual property
  • Use the website or Digital Products to harass, abuse, defame, or harm others
  • Upload, transmit, or distribute malware, harmful code, or disruptive material

6.3 SYSTEM INTEGRITY AND SECURITY

You may not:

  • Interfere with or disrupt the operation of the website or services

PROMETHIEL reserves the right to monitor usage to ensure compliance with these Terms.


6.4 MISUSE OF CONTENT AND SERVICES

You may not use the website or Digital Products to:

  • Mislead others as to the source, authorship, or endorsement of content

PROMETHIEL reserves the right, in its sole discretion, to take appropriate action in response to prohibited conduct, including:

  • Legal action or referral to authorities where appropriate

Such actions may be taken without prior notice where permitted by law.


6.6 NO DUTY TO MONITOR

PROMETHIEL has no obligation to monitor user conduct or content but reserves the right to do so to enforce these Terms or comply with legal obligations.

Failure to enforce any provision does not constitute a waiver of PROMETHIEL’s rights.


7. INTELLECTUAL PROPERTY (PLATFORM-LEVEL)

7.1 OWNERSHIP OF WEBSITE CONTENT

All content made available through www.promethiel.com, including but not limited to:

  • Text, articles, essays, blog posts, and explanatory materials
  • Visual design, layout, user interface, and navigation structure
  • Logos, trademarks, service marks, trade names, and branding
  • Graphics, icons, images, and downloadable materials
  • Audio, video, and multimedia elements

is owned by or licensed to PROMETHIEL L.L.C. and is protected by United States and international intellectual property laws.

Except as expressly permitted, no content may be used without prior written consent.


7.2 TRADEMARKS AND BRAND IDENTIFIERS

“PROMETHIEL,” associated logos, product names, teaching deck names, and related branding elements are trademarks or service marks of PROMETHIEL L.L.C.

You may not:

  • Use PROMETHIEL trademarks in a manner likely to cause confusion
  • Suggest sponsorship, endorsement, or affiliation without authorization
  • Use PROMETHIEL branding in domain names, social media handles, or advertising

All goodwill arising from use of PROMETHIEL marks inures solely to PROMETHIEL.


7.3 LIMITED WEBSITE USE LICENSE

Subject to compliance with these Terms, PROMETHIEL grants you a limited, revocable, non-exclusive, non-transferable license to access and use the website solely for lawful, personal, and informational purposes.

This license does not permit:

  • Commercial use of website content
  • Copying, scraping, or systematic extraction of content
  • Framing, mirroring, or republishing website materials

7.4 USER-GENERATED CONTENT (IF APPLICABLE)

If you submit feedback, comments, messages, or other content to PROMETHIEL (“User Content”), you grant PROMETHIEL a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and display such content for business, educational, or operational purposes.

You represent that you have the right to submit such content and that it does not infringe third-party rights.

PROMETHIEL has no obligation to publish or retain User Content.


7.5 NO IMPLIED RIGHTS

Nothing in these Terms grants you any rights to PROMETHIEL intellectual property by implication, estoppel, or otherwise.

All rights not expressly granted are reserved by PROMETHIEL.


7.6 REPORTING INFRINGEMENT

If you believe that any content on the website infringes your intellectual property rights, please contact: customer.engagement@promethiel.com

 

Your notice must include sufficient information to identify the allegedly infringing material and your rights.


8. DISCLAIMERS AND NO PROFESSIONAL ADVICE

8.1 EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY

All content made available through the website, Digital Products, communications, and related services is provided solely for educational and informational purposes.

Nothing offered by PROMETHIEL is intended to constitute, and shall not be construed as:

No professional-client, fiduciary, or advisory relationship is created through your use of the website or services.

shall be strictly limited to the amount you paid to PROMETHIEL for the specific product or service giving rise to the claim, or one hundred U.S. dollars (USD $100), whichever is less.


9.3 BASIS OF THE BARGAIN

You acknowledge and agree that:

  • The limitations of liability set forth in these Terms are a fundamental element of the agreement between you and PROMETHIEL
  • PROMETHIEL would not provide access to the website or Digital Products without these limitations
  • The pricing of Digital Products reflects this allocation of risk

The limitations in this Section apply regardless of the legal theory under which a claim is asserted, including contract, tort (including negligence), strict liability, or otherwise.


9.5 JURISDICTIONAL LIMITATIONS

10. INDEMNIFICATION

10.1 USER INDEMNIFICATION OBLIGATION

You agree to indemnify, defend, and hold harmless PROMETHIEL L.L.C., including its owners, officers, directors, employees, contractors, affiliates, licensors, and agents (collectively, the “Indemnified Parties”), from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • Your access to or use of the website, Digital Products, or services
  • Your violation of these Terms of Service or any incorporated agreement (including the DPLA)
  • Your misuse, unauthorized distribution, or improper application of Digital Products
  • Your violation of any applicable law, regulation, or third-party right
  • Any content, representations, or actions attributable to you

10.2 DEFENSE AND CONTROL OF CLAIMS

PROMETHIEL reserves the right, at its own expense, to assume exclusive control of the defense and settlement of any claim subject to indemnification.

You agree to:

  • Cooperate fully with PROMETHIEL in the defense of any claim
  • Provide timely information and assistance as reasonably requested
  • Not settle any claim without PROMETHIEL’s prior written consent where the settlement would impose any obligation or liability on PROMETHIEL

10.3 CONTINUING OBLIGATION

Your indemnification obligations under this Section:

  • Apply regardless of whether your use of the website or Digital Products is ongoing
  • Survive termination or expiration of these Terms
  • Are in addition to, and not limited by, any limitation of liability provisions

10.4 NO DUTY TO DEFEND ABSENT TRIGGER

Nothing in this Section obligates PROMETHIEL to defend you against any claim, action, or proceeding brought against you by a third party.


11. TERMINATION AND SUSPENSION OF ACCESS

11.1 TERMINATION BY PROMETHIEL

PROMETHIEL reserves the right, in its sole discretion and without prior notice where permitted by law, to:

  • Suspend or terminate your access to the website, Digital Products, or services
  • Revoke or invalidate licenses granted under the DPLA
  • Cancel or refuse transactions

Termination may occur if PROMETHIEL reasonably determines that you have:

  • Violated these Terms of Service or any incorporated agreement
  • Breached license restrictions under the DPLA
  • Engaged in fraudulent, deceptive, or unlawful conduct
  • Misused Digital Products or intellectual property
  • Failed to comply with payment obligations

11.2 TERMINATION BY USER

You may discontinue use of the website or services at any time.

Termination by you does not entitle you to any refund, reimbursement, or continued access to Digital Products already delivered.


11.3 EFFECT OF TERMINATION

Upon termination or suspension for any reason:

  • All rights granted to you under these Terms immediately cease
  • Your access to the website, Digital Products, and services may be revoked
  • Any licenses granted under the DPLA are automatically terminated
  • Continued access or use constitutes unauthorized use and may result in legal action

PROMETHIEL may require certification that you have ceased all unauthorized use.


11.4 NO LIABILITY FOR TERMINATION

To the maximum extent permitted by law, PROMETHIEL shall not be liable to you or any third party for:

  • Termination or suspension of access
  • Loss of access to Digital Products
  • Deletion or unavailability of content

Termination does not affect PROMETHIEL’s right to pursue remedies for prior or ongoing violations.


11.5 SURVIVAL OF PROVISIONS

The following provisions shall survive termination of these Terms:

  • Intellectual property rights and restrictions
  • Disclaimer of warranties
  • Limitation of liability
  • Indemnification obligations
  • Governing law and dispute resolution
  • Any provisions which by their nature should survive

12. GOVERNING LAW, JURISDICTION, AND VENUE

12.1 GOVERNING LAW

These Terms of Service, and any dispute, claim, or controversy arising out of or relating to:

  • These Terms
  • The website
  • Any Digital Products or services
  • Any transaction or interaction with PROMETHIEL

shall be governed by and construed in accordance with the laws of the State of Washington DC, United States, without regard to its conflict-of-laws principles.


12.2 EXCLUSIVE JURISDICTION AND VENUE

To the fullest extent permitted by law, you agree that:

  • Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located within the State of Washington DC
  • You hereby consent to the personal jurisdiction of such courts
  • You waive any objection to venue, including objections based on inconvenience or forum non conveniens

12.3 INTERNATIONAL USERS

If you access the website or services from outside the United States, you acknowledge and agree that:

  • You do so at your own initiative and risk
  • You are responsible for compliance with all applicable local laws and regulations
  • United States law governs these Terms regardless of your location

Nothing in these Terms shall be deemed to confer jurisdictional rights or protections beyond those expressly stated.


12.4 CONSUMER LAW EXCEPTIONS

Notwithstanding the foregoing, if mandatory consumer protection laws in your jurisdiction require the application of local law or venue, such provisions shall apply only to the extent required by law and shall not invalidate the remaining provisions of these Terms.


13. SEVERABILITY, ENTIRE AGREEMENT, AMENDMENTS, AND INTERPRETATION

13.1 SEVERABILITY
